Job Description Summary:

The Corporate Development & Strategy Senior Analyst’s primary responsibilities will be supporting Rocket’s acquisition sourcing and execution efforts, as well as coordinating selected strategic projects. Reporting to the Vice President of Strategy & Corporate Development, this critical role will work on projects that have visibility with the executive and Board levels and that drive a meaningful long-term impact to Rocket. The candidate will either work out of Rocket’s global headquarters or a remote office.

Rocket Software, a global enterprise software company in Bain Capital’s portfolio, is seeking to triple in size through M&A and partnerships over the next several years. With over 50 deals completed since 2000, Rocket is rapidly building upon our long track record of inorganic growth with Bain’s support.

Our dedicated Corporate Development team drives this inorganic growth in close partnership with our divisional leadership and corporate executives and has three main responsibilities:

  • Lead the organization and business unit leaders through the ongoing evolution of our strategy to ensure Rocket achieves our long-term objectives set forth by our Executive Leadership Team and Board.

  • Drive all inorganic growth opportunities, which include tuck-in acquisitions, carve-outs, large scale partnerships, and aspects of strategically transformative M&A.

  • Lead the smooth integration of all acquisitions and partnerships to drive seamless experiences for our customers, partners, and acquired employees.

The Corporate Development & Strategy Senior Analyst is responsible for leading important aspects of the above mandates in a highly self-directed manner through a combination of business acumen, financial and analytical prowess, and executive-level relationship-building. The Corporate Development & Strategy Senior Analyst’s primary responsibilities will be supporting Rocket’s acquisition sourcing and execution efforts, as well as coordinating selected strategic projects. Reporting to the Vice President of Corporate Development & Strategy, this critical role will work on projects that have visibility with the executive and Board levels and that drive a meaningful long-term impact to Rocket. The candidate will either work out of Rocket’s global headquarters or a remote office.

Essential Duties and Responsibilities :

Deal sourcing and cultivation responsibilities will include:

  • Mining Rocket's existing pipeline and researching multiple sources of market information to develop hypotheses, strategies, and new pipeline for potential partnerships and acquisitions.

  • Supporting outbound sourcing efforts by Corporate Development and other Rocket executives.

  • Assessing companies for fit with Rocket’s strategy, technology, go-to-market plans, and culture.

  • Maintaining and improving Rocket’s pipeline tracking system and publish real-time, transparent pipeline reports.

Execution responsibilities include:

  • Building detailed and dynamic financial models to analyze an acquisition’s investment rationale.

  • Synthesizing compelling written investment materials for delivery by Corporate Development and business unit leadership to executives and Board members.

  • Creating analyses to support the negotiation of term sheets, definitive legal agreements, and other ancillary legal documents.

  • Supporting M&A deal processes through all transaction steps and approval gates.

Required Qualifications:

  • Minimum of 2-3 years in investment banking, corporate development, or private equity.

  • Prior responsibility for researching targets, conducting financial and valuation analyses, and coordinating diligence activities.

  • Demonstrated analytical and financial modeling skills, preferably developed as an Analyst or Associate in investment banking or private equity.

  • Proven ability to support a cross-functional team of colleagues and executives during a M&A process.

  • Ability to manage and execute multiple simultaneous projects with high levels of communication, transparency, and accuracy.

  • Exposure to corporate strategy, strategic market research, or strategic planning processes.

  • Demonstrated ability to think strategically and thrive in a relatively unstructured, quickly changing environment where priorities may shift and potentially compete.

  • Expert-level skills in financial modeling in Excel and developing presentations in PowerPoint.
